License Agreement: Please read and mark your agreement below.	TERMS OF USE 1. The Compendium of Commercial Finance Law is for licensed customers only. Customer may use Compendium of Commercial Finance Law as many times as customer wishes, as long as customer owns the license for the Compendium of Commercial Finance Law. Compendium of Commercial Finance Law may not under any circumstances be sold or redistributed. 2. The site license for the Compendium of Commercial Finance Law is granted for use at a single customer geographic location. For use at multiple geographic locations, i.e. multiple offices across the country, additional site licenses must be purchased. 3. The Commercial Finance Association, at its own discretion, will decide if any terms of this agreement have been violated by the customer. Upon written email or U.S. mailed notification to Customer of Terms of Use violations, the Commercial Finance Association may revoke customer's license to use the Compendium of Commercial Finance Law. In that event, Customer agrees to any and all of the following: a) Customers found in violation of this agreement, found reselling or redistributing the Compendium of Commercial Finance Law, or making Customers Members Area ID and password public to anyone in any manner will forfeit their Members area password and all rights to future versions of the Compendium of Commercial Finance Law. b). Customer will no longer be licensed to run any version of the Compendium of Commercial Finance Law. c). While the Compendium is designed to provide accurate and authoritative information in regard to the subject matter covered, it is published with the understanding that neither CFA nor the correspondent attorneys who submit legal opinions are rendering legal or other professional advice. If legal advice or other expert assistance is needed, the services of a competent professional person should be sought. Indemnification 1. Customer agrees that it shall defend, indemnify, save and hold the Commercial Finance Association, and any persons affiliated with the Commercial Finance Association, harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against the Commercial Finance Association, its agents, its customers, officers and employees, that may arise or result from any service provided by or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless the Commercial Finance Association, its agents, its customers, officers, and employees, against liabilities arising out of; a) any injury to person or property caused by an products sold or otherwise distributed in connection with the commercial Finance Association products; (b) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; c) copyright infringement and (d) any defective products sold to customer from Commercial Finance Association products. This the Compendium of Commercial Finance Law may not be distributed in whole or part, freely, for pay, or any other form of compensation.
